Legislative Decree No. 231 of June 8, 2001 introduced into the Italian legal system the concept of administrative liability for legal entities, companies, and associations, including those without legal personality.
According to this legislation, in the event that certain crimes specified in the Decree are committed under the conditions set forth therein, the company (as a legal entity) may be held directly liable, unless it can prove that it has adopted an organizational, management, and control model capable of preventing such offenses — and that the unlawful act was carried out by an individual in violation of the company’s internal policies.
Dedagroup S.p.A., in accordance with Legislative Decree 231, has adopted its own Organizational Model, which is periodically updated to reflect changes and updates introduced by the legislator.
Dedagroup S.p.A. places its trust in the integrity of all its employees to ensure proper application of the rules and principles set out in its Organizational Model.
As such, failure (in whole or in part) to comply with the provisions of this Model — or with related company policies — will be considered by Dedagroup as a breach of the trust placed in the employee who fails to follow corporate directives. Consequently, non-compliance with these provisions may result in the application of appropriate disciplinary measures.
